These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Elevate ("Company," "we," "us," or "our") governing your access to and use of the Elevate website, web application, and Chrome browser extension (collectively, the "Services") available at https://elevatecareer.co.

By creating an account, accessing, or using the Services in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, you must not access or use the Services.

If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

Elevate is an AI-powered career development platform that provides the following features (the "Services"):

• ATS Resume Scanner: Analyzes your resume against job descriptions to provide keyword match scores and formatting feedback.
• AI Job Coach (Pip): A conversational AI assistant that provides career guidance, skill gap analysis, and job search strategy advice.
• Interview Prep: AI-generated mock interview questions with feedback on your responses.
• Resume Builder: Tools to create and format ATS-optimized resumes.
• Application Tracker: A tool to track and manage job applications across multiple platforms.
• Ghost Job Detector: AI-powered analysis of job postings to assess legitimacy and identify potential red flags.
• Career Path Finder: AI-powered career assessment and matching tool.
• Last-Minute Boost: Pre-interview confidence and preparation tool.
• Success Journal: A personal win-tracking and mood check-in tool.
• Chrome Extension: A browser extension that helps save job listings to your Application Tracker.
• Job Market Data: Publicly available labor market data from the U.S. Bureau of Labor Statistics.

We reserve the right to modify, suspend, or discontinue any feature or aspect of the Services at any time, with or without notice.

You must be at least 16 years of age to use the Services. By using the Services, you represent and warrant that you are at least 16 years old. If you are under 18, you represent that you have obtained parental or guardian consent.

The Services are intended for individuals seeking employment or career development. Use for commercial purposes, including reselling or redistributing AI-generated content, is prohibited without our prior written consent.

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to notify us immediately at Contact Us of any unauthorized use of your account or any security breach. We will not be liable for any loss or damage arising from your failure to protect your account credentials.

You agree not to use the Services to:

• Violate any applicable law, regulation, or third-party rights.
• Upload or share content that is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene.
• Impersonate any person or entity, or falsely represent your affiliation with any person or entity.
• Attempt to gain unauthorized access to any portion of the Services or other accounts.
• Use automated tools (bots, scrapers, crawlers) to access or extract data from the Services without our prior written consent.
• Reverse engineer, decompile, or attempt to derive the source code of any part of the Services.
• Use AI-generated content to deceive employers, misrepresent your qualifications, or engage in academic fraud.
• Interfere with or disrupt the integrity or performance of the Services.
• Use the Services for any commercial purpose without our prior written consent.

"User Content" means any information, data, text, or files you submit to the Services, including resume content, job descriptions, coaching messages, and application data.

Use of the Elevate Chrome Extension is subject to these Terms and the Chrome Web Store Developer Program Policies. By installing and using the Extension, you agree that:

• The Extension will only be used for its intended purpose of saving job listings to your personal Application Tracker.
• You will not use the Extension to scrape or redistribute job listing data for commercial purposes.
• You will keep your Extension token confidential and not share it with others.
• We may update, modify, or discontinue the Extension at any time.

The Services integrate with third-party services including OpenAI (AI processing), Stripe (payments), Manus Platform (authentication and infrastructure), and the U.S. Bureau of Labor Statistics (labor market data). Your use of these third-party services is governed by their respective terms of service and privacy policies. We are not responsible for any third-party service's actions, omissions, or data practices.

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT: (A) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE; (B) THE RESULTS OBTAINED FROM USE OF THE SERVICES WILL BE ACCURATE OR RELIABLE; (C) ANY AI-GENERATED CONTENT WILL BE ACCURATE, COMPLETE, OR SUITABLE FOR YOUR SPECIFIC SITUATION; OR (D) USE OF THE SERVICES WILL RESULT IN ANY PARTICULAR EMPLOYMENT OUTCOME.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusions may not apply to you.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL ELEVATE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, OR BUSINESS; LOSS OF EMPLOYMENT OPPORTUNITIES OR CAREER ADVANCEMENT; LOSS OF DATA; EMOTIONAL DISTRESS; OR ANY OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICES.

Aggregate liability cap: Our total aggregate liability to you for all claims shall not exceed the greater of: (a) the total amount you paid to us in the twelve (12) months immediately preceding the event giving rise to the claim; or (b) one hundred U.S. dollars (USD $100).

Some jurisdictions do not allow the limitation of liability for consequential or incidental damages, so the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless Elevate and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your violation of these Terms; (b) your User Content; (c) your use of the Services in violation of any applicable law or third-party rights; or (d) your use of AI-generated content in a manner that harms third parties.

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms. You may terminate your account at any time by contacting us at Contact Us.

Sections 3, 4, 9, 13, 14, 15, and 17 shall survive termination of these Terms.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. To the extent that any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Delaware.

We reserve the right to modify these Terms at any time. When we make material changes, we will update the "Last updated" date and notify you by email or through a prominent notice within the Services. Your continued use of the Services after the effective date of any changes constitutes your acceptance of the updated Terms.
